The delivery times indicated are not binding and, in any case, shall commence only after the order has been fully finalised in all its parts.
Where the Customer is required to provide executive drawings and/or an advance payment, the delivery period shall commence upon receipt thereof. Any drawings submitted by us for approval must be returned duly approved within one (1) day from the date of submission. Any delay in delivery shall not entitle the Customer to claim damages, penalties, or interest of any kind, except in the case of a specific contractual agreement expressly providing otherwise.
All supplies are made under a retention of title clause (articles 1523 et seq. of the Italian Civil Code) and shall remain the exclusive property of EMMEGI SpA until full payment of the agreed price has been received. Where payment is made by bills of exchange, the goods shall remain the property of EMMEGI SpA until such bills have been fully settled or renewed. No suspension or deferment of payment shall be admitted in the event that the supplied materials are subject to testing or acceptance by third parties, unless otherwise agreed at the time of order. In the event of late payment, interest shall be charged at the ECB reference interest rate plus seven (7) percentage points, in accordance with EU Directive 2000/35 and Italian Legislative Decree no. 231 of 09/10/2002.
Goods are transported at the Customer’s risk and responsibility, even when sold carriage paid or delivered to destination. Should shipment be prevented due to force majeure or causes beyond our control, we shall be entitled to issue the relevant invoice within 15 days from the date the goods are made ready for dispatch. Unloading of the goods is always excluded and remains the responsibility of the Customer.
The indicated weights (kg/m²) are nominal and subject to standard tolerances. The tolerances for load-bearing bars used in the production of grating are as follows: +1.1 mm / −1.1 mm. Thickness tolerances for load-bearing bars are +0 mm / −0.25 mm. Panel dimensions are subject to the tolerances provided by UNI 11002 parts 1/2/3.
Within these tolerances, the performance of the grating remains unchanged with respect to the load classes defined in the Assogrigliati guidelines. No claims shall be accepted unless submitted in writing within eight (8) days from receipt of the goods. In the event that modifications are required due to causes attributable to us, such work shall be carried out exclusively by our personnel. Any modification or adaptation work performed by the Customer without prior written authorization shall not be recognized.
For grating sold at €/kg, invoicing shall be based on the theoretical weight indicated in the price list. Weight variations within ±5% shall not give rise to any adjustment. For steel fabrication invoiced at €/kg, the weight shall be understood as the theoretical weight of the profiles before galvanising, plus a theoretical zinc coating weight equal to 6%.
Material and galvanizing certificates must be requested at the time of order.
Prices are those indicated in the price list currently in force and are subject to variation up to the date of each individual shipment.
Installation of gates is entirely at the Customer’s care and expense. If otherwise agreed, only the works expressly detailed in our order confirmation shall be included. All drive units, control equipment, and safety devices required by applicable UNI standards are expressly excluded from the supply.
Where the order concerns electrically operated gates, EMMEGI SpA expressly draws the Customer’s attention to the strict observance of the operating instructions provided. EMMEGI SpA declines all responsibility for any damage arising from failure to observe such instructions or from inadequate or defective maintenance of the system.
Any dispute concerning the interpretation or execution of this contract shall be referred to arbitration in accordance with the rules of the A.N.I.M.A. Arbitration Committee. Failing such arbitration, exclusive jurisdiction shall lie with the Court of Bari, Italy.
Offers issued by EMMEGI SpA’s sales agents are subject to approval by the Head Office. In the absence of any communication to the contrary, such approval shall be deemed granted.
Hot-dip galvanizing may result in zinc build-ups, spikes, or streaks on the surface due to the intrinsic nature of the process, without affecting the functionality of the protective coating. In the event of storage under particular climatic conditions (humidity and/or rain), freshly galvanized material—still not protected by zinc oxide—may show stains or powdery areas where moisture accumulates. In such cases, the protective performance of the coating remains fully unaffected.
